Code of Conduct and Anti Bribery and Corruption Statement

Introduction:
This Business Code of Conduct is to provide employees and potential customers with guidelines to ensure acceptable behavior in business transactions. The Code ensures integrity, honesty, fair dealing and full compliance with all applicable laws. This Code is designed to provide a frame of reference against which to measure any activities. Employees should seek guidance when in doubt about proper course of action in any given situation, as it is the responsibility of each employee to do the right thing which is a responsibility that cannot be delegated.
1. Legislation and the Government
As employees of Ecotrin Limited, we shall comply with all laws and regulations of Trinidad and Tobago and the laws of the countries in which we conduct business. Employees must also adhere to internal policies and regulations as they apply in any given circumstance. Employees must obtain ethical behaviour in all transactions and reject and discourage corrupt behaviour and bribery. All employees must provide truthful and accurate information about EL’s performance to any investigation and must not knowingly mislead any investigator.
2. Employees
Employees of EL shall always adopt and ensure a respectful, non-discriminatory, safe and harassment-free workplace. We will create and maintain a workplace of trust and respect. EL will recognize and reward its employees on performances based on merit and assist employees to achieve their full potential. Employees will be recruited based on merit, qualifications, demonstrated skills and achievements. EL will respect the confidentially of employees and their information and refrain from making judgments based on race, religion, gender, marital status or disability. Additionally, employees shall be open in communication when sharing information of common interest and respect the practice of good industrial relations.
3. Customers
All EL employees have a responsibility to treat all customers fairly in each aspect of business transactions and respect the integrity and diversity of all our customers’ cultures and beliefs. Additionally, EL will preserve the customer’s confidentiality. A customers’ Information may only be shared if required by law or by the customer.
4. Suppliers
At EL, we have a responsibility to be fair in all business activities and confirm that all business activities are free from coercion and litigation of any sort, thus promoting fair competition. Employees must respect the confidentiality of business relationships, divulging only such information as required by law or authorized by the supplier. EL will seek and encourage business with suppliers who act in a manner consistent with this Code.
5. Conflicts of interest
A Conflict of Interest occurs when personal interests of an employee or the interests of a third party compete with the interests of EL. In such a situation, it can be difficult for the employee to act fully in the best interests of EL. Employees shall avoid Conflicts of Interest whenever and wherever possible. If a Conflict of Interest situation has occurred or if an employee faces a situation that may involve or lead to a Conflict of Interest, the employee shall disclose it to his or her Line Manager to resolve the situation in a fair and transparent manner.
6. Competition
The management of EL agrees that free and fair competition is critical. At EL, we shall engage in fair trade and competition within the law, not knowingly make payments and offer inducements or accept favors in exchange for competitive advantages.
7. Anti-Bribery and Corruption
Corruption is unfair, dishonest and unethical. It distorts markets, suppresses economic growth, stifles innovation, and undermines public confidence in institutions and companies. Ecotrin Employees and Third Parties must comply at all times with all applicable anti-corruption laws and anti-bribery laws of Trinidad and Tobago and/or other relevant jurisdictions (where applicable), and shall refrain from any conduct that would cause Ecotrin to be in violation of any applicable anti-corruption laws and anti-bribery laws. No employee of EL shall participate in the selection, award, or administration of a contract if a real or apparent conflict of interest would be involved. Such a conflict would arise when the employee, any member of his or her immediate family, his or her partner, or an organization that employs or is about to employ any of the parties indicated herein, has a financial or other interest in the firm/supplier selected for an award. The employees of EL shall neither solicit nor accept gratuities, favors, or anything of monetary value from contractors, or parties to sub agreements. Employees and agents of the Corporation shall be subject to disciplinary actions for violations of these standards.
8. Health Safety and the Environment
EL is committed to maintaining a safe and healthy workplace for all employees, contractors and visitors. We shall involve all employees in the development and maintenance of an effective health and safety management program as a means of attaining company health and safety goals. Resources of finance and time will be made available to effectively implement this policy. Our objectives and targets shall comply with Occupational Safety and Health Act amended 2006, Regulations, Guidance, Industry Standards, accepted “Best Practice” and other requirements.
